GENERAL CONDITIONS OF USE

The purpose of these general conditions of use (the “CGU”) is to provide the legal framework for the methods of providing the site www.skillink.com (the “Site”) and services (the “Services”) by the company Skillink

(“Skillink”) and to define the conditions of access and use of the Services by any user of the Site (the “User”).

These Terms of Use are available on the Site under the “Terms of Use” or “Legal Information” section.

Any use of the Site, reserved for adults, implies the unreserved and unrestricted acceptance of the Terms and Conditions by the User.

Skillink reserves the right to unilaterally modify the content of these T&Cs at any time.

ARTICLE 2: Presentation of the site and services

Skillink's main activity is the recruitment of talent (the “Candidates”) for any commercial company (the “Customers”). This recruitment is carried out through a service that is governed by a recruitment agreement between clients and Skillink, or as part of an outsourcing offer (RPO — Recruitment Process Outsourcing). Skillink also carries out business consulting and vocational training activities.

The Site offers Candidates the following Services:

— Presentation of Skillink's recruitment services;

- Presentation of Clients' job offers through Skillink;

The Site offers Customers the following Services:

— Presentation of the solutions marketed by Skillink to solve the recruitment issue: specialized recruitment of experts and managers, RPO (Recruitment Process Outsourcing), Executive search, international recruitment, international recruitment, interim management and recruitment training;

— Forms for making contact by telephone or by email with Skillink employees to refine Skillink's knowledge of the needs of our customers or future customers;

ARTICLE 3: Policy concerning information communicated by users

As part of the use of the Services offered by Skillink, Users (Candidates or Customers) are required to communicate various information to Skillink via the Site.

Information provided by a Candidate: First name, last name, email, email, telephone number, any information transmitted through their Linkedin profile or their CV or any other attachment communicated to Skillink through the contact form.

When the candidate applies for an offer on the Site or sends his spontaneous application, the candidate expressly agrees to communicate to Skillink all the information present on his LinkedIn profile (name, first names, professional experiences, publications etc... without this list being exhaustive) or on any other document communicated (CV, cover letter etc.). In general, the Candidate agrees to communicate to Skillink any information necessary to carry out the Services offered by Skillink.

ARTICLE 4: Skillink's obligation and responsibilities

Skillink excludes all guarantees as to the reliability, timeliness and performance of the Site and the Services. In this respect, Skillink is only bound by an obligation of best efforts regarding access to the Site and the Services and will make its best efforts to maintain continuous access to the Site and the Services.

Skillink will have the possibility to suspend or interrupt access to the Site and Services, in particular for technical reasons (maintenance operations, software updates, etc.) or editorial reasons (updating content and interfaces, adding new functionalities, etc.) or for any other reason.

In the event of suspension or interruption of the Site and Services, bugs, viruses, Trojan horses or other similar elements, Skillink is not subject to any obligation to provide Users with prior information and cannot be held responsible for the damage caused by these suspensions or interruptions both with respect to Users and to any third party.

Skillink cannot be held liable in the event of inaccessibility of all or part of the Site and Services due to any technical problem or defect of any kind (network congestion, failure of Internet access providers, electrical problem, etc... without this list being exhaustive).

The information published on the Site is published for information purposes. Skillink highlights complete and qualitative information on the Site but is not in a position to ensure its accuracy. Skillink is not responsible for false information that is disseminated and does not guarantee that the use of the Site does not harm third parties. Skillink is only bound by an obligation of best efforts concerning the Services. Skillink cannot under any circumstances be held responsible in the following cases:

— if a Candidate cannot find a job;

— if a Candidate finds a job that is not suitable for him;

— if a Customer is unable to recruit;

— if a Client recruits a Candidate who does not satisfy him.

Skillink cannot be held responsible for damage caused during the maintenance phase with a Customer.

Skillink cannot be held responsible for offenses or attempted criminal offenses committed by its Users through the Services and/or the resulting damages (prostitution, pimping, fraud, breaches of privacy, infringements of intellectual property rights, infringements of intellectual property rights, identity theft, etc... without this list being exhaustive).

In this respect, Users waive the right to exercise any recourse against Skillink in the event of proceedings initiated by a User and/or by a third party, as a result of the illicit use and/or exploitation of the Services.

Skillink uses all the means at its disposal to guarantee optimal security of User data. However, it is impossible for him to guarantee the absolute security of the networks. Skillink cannot be held responsible in the event of data piracy. Indeed, Skillink does not control the risks associated with the functioning of the Internet and draws the User's attention to the existence of possible risks in terms of occasional data losses or breaches of the confidentiality of data transiting via this network.

By accepting these Terms of Use, the User acknowledges that he is solely responsible for the content he publishes and that Skillink is a third party to the correspondence and relationships between Users, which excludes all liability in this regard.

Skillink is not responsible to Users and/or any third party for the inaccuracy of the data provided by Users with whom they have entered into a relationship.

ARTICLE 5: Violation of the CGU

Non-compliance by a User with the obligations imposed on him by the CGU may result in sanctions. In addition, certain behaviors carried out on the Site are likely to lead to both criminal and civil legal proceedings. Skillink may be required to report a violation of the law to the competent authorities, or even initiate legal proceedings (civil and criminal) against Users.

ARTICLE 6: Protection of intellectual property rights

The elements reproduced on the Site (visuals, graphics, photos, photos, photos, texts, articles, logos, and various information) are the exclusive property of Skillink. These elements are protected by copyright, trademark law and patent law, as defined by the Intellectual Property Code and European regulations. It is strictly forbidden to reproduce all or part of this Site.

Any reproduction and distribution of these elements, without prior written authorization from Skillink, exposes offenders to legal proceedings.

More particularly, the “Skillink” brand is a trademark registered by Skillink. Any representation and/or reproduction and/or partial or total exploitation of this brand, of any nature whatsoever, is totally prohibited.

ARTICLE 7: Hypertext links

Hypertext links to websites published and/or managed by third parties may be present on the Site. The User is informed that by clicking on these links, he will leave the Site.

Insofar as no control is exercised over these external resources, the User acknowledges that Skillink assumes no responsibility for the provision of these resources, and cannot be held responsible for their content, advertising, products, services or any other components appearing on or available from these websites or resources, or for damages or losses arising from these websites or resources, or for damages or losses arising from these websites or resources, even if these websites and resources are linked to partners or resources. to third party service providers of Skillink.

ARTICLE 8: “Cookies” Policy

The User is informed that during his visits to the site, a cookie may be automatically installed on his browser software. ARTICLE 10: Information and complaints

ARTICLE 11: Autonomy of clauses

If any part of the Terms should prove illegal, invalid or unenforceable for any reason whatsoever, the term or terms in question would be declared non-existent and the remaining terms would remain in full force and scope and would continue to be applicable. Terms declared non-existent will be replaced by terms that are closest to the content of the cancelled clause.

ARTICLE 12: Applicable law

The CGU are subject to French legislation. In the absence of an amicable resolution of a dispute arising between the parties, the French courts alone will be competent to hear it.
